  • We acted for the Peremba Group of Companies in respect of the take-over and privatization of Saujana Consolidated Berhad (SCB) and Saujana Resort (Malaysia) Berhad (SRMB) through the acquisition of 32,137,000 shares of SCB Shares by private treaty, mandatory general offers for the remaining shares of SCB and SRMB, the acquisition of 14,950,000 shares of SCB via a direct business transactions  followed by an unconditional voluntary general offer for the shares of SCB and SRMB remaining after the private treaty acquisition and completion of the mandatory general offers (total approx. value RM 90,000,000).
  • We acted in respect of the acquisition of 60% of Teluk Datai Resort Sdn Bhd, together with The Datai Hotel and adjagent land and golf course, from Landmarks Berhad (total approx. value RM 68,000,000).
  • We have advised MTD Capital Berhad and CIMB Investment Bank Bhd on the transaction structure and financing structure for the SCR.
  • We have advised on the Joint Venture (JV) between the Bukit Kiara Group and the Al-Batha Group of the United Arab Emirates. The JV includes acquisition of 45% equity interest by Al Batha in Bukit Kiara Properties Sdn Bhd from Bukit Kiara Capital Sdn Bhd. Maiden investment by the Al-Batha Group into Malaysia. Deal size: RM45 mil.
  • We are advising our client and Bank Islam Malaysia Berhad on the financing structure for Voluntary General Offer for all shares in a public listed company. Deal size: RM60 mil.
  • We have advised on the acquisition by Reliance Pacific Berhad of Companies in Hong Kong, Australia and Thailand that are in the travel and leisure business. This created a sizable Malaysian regional travel and leisure group. Deal size: RM45 mil.
  • We have advised on Voluntary General Offer (VGO) for all shares in Sindora Berhad by Kulim (Malaysia) Berhad (Kulim), not already owned by Kulim (VGO). We have advised the VGO including circulars to shareholders and submission documents to various authorities for the VGO. Deal size: RM50 mil.
  • We are acting for a government investment fund in relation to the acquisition of a company which manufactures and sells herbal products.
  • We have acted for DiGi.Com Berhad (DiGi) in relation to the acquisition of the 3G spectrum by DiGi through DiGi Telecommunications Sdn Bhd from TIME dotcom Berhad through TT dotCom Sdn Bhd (TTdotCom) where the consideration was satisfied by the issuance of 27,500,000 new DiGi shares credited as fully paid-up to TTdotCom.
  • We acted for UEM Land Berhad (UEM) in respect of the design, construction and maintenance of the new Administration Centre for the Johor State Government. The project is carried out, in phases on a land measuring approximately 320 acres (Nusajaya Land). We were involved in the preparation and negotiation of the joint venture agreement, the shareholders’ agreement, the agreement for the surrender and development of Bandar Nusajaya land, agreement to lease of the Nusajaya Land, the turnkey contract for Phase 1 and providing general advice. To date, Phase 1 of the project has been completed and we continue acting for UEM Land Berhad in relation to other phases of this project and other various projects.
  • We represented Acerinox S.A. (a company listed in the Spanish stock exchange) in acquiring a 345-acre industrial land in the Iskandar Development Region, Johor through a Malaysian subsidiary company that was granted manufacturing license by the Malaysian authority, to construct a fully integrated stainless steel factory with a melting capacity of 1 million Mt and a cold rolling capacity of 600,000 Mt. The initial land cost is RM166 million and total investment is USD 1.5 billion.
  • We acted for LBS Bina Group Berhad (LBGB) in relation to its renounceable rights issue exercise  new warrants in the LBGB.
  • We acted for Saujana Consolidated (M) Berhad in relation to the segregation of 'The Club at the Saujana' from 'The Saujana' and the preparation of the management agreement for 'The Club at the Saujana'.
  • We acted for Western Digital in an acquisition of a factory.
  • We acted for ING Insurance Berhad in the review of their contracts and insurance products.
